Terms of Service

1. Overview

These Terms form a contract between you and Bellamare Development LLC ("Bellamare", "we", "us") and govern your use of Bellamare Capital Access websites, portal, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

2. Eligibility & Accounts

You must be at least 18 and authorized to act on behalf of any entity you represent. You are responsible for maintaining the security of your account credentials and for all activity under your account.

3. Confidentiality

All information, documents, financial data, business plans, projections, communications, and other materials disclosed or made available through the Services (collectively, "Confidential Information") are proprietary and confidential to Bellamare Development LLC and its affiliates. By accessing the Services, you agree to:

• Treat all Confidential Information as strictly confidential;
• Not disclose, distribute, reproduce, or share any Confidential Information with any third party without the prior written consent of Bellamare;
• Use Confidential Information solely for evaluating and managing your investment relationship with Bellamare;
• Not use Confidential Information for any competitive, commercial, or other unauthorized purpose.

This obligation of confidentiality survives termination of your account and use of the Services. Confidential Information does not include information that is or becomes publicly available through no fault of yours, or that you independently develop without reference to Confidential Information.

Nothing in the Services constitutes investment, legal, or tax advice. Any investment decisions are your own.

4. Google Account Access (Optional)

If you connect a Google account, you authorize Bellamare to access your email and calendar data with your consent to identify and record activities related to your real estate work and the administration of businesses you co-own with Bellamare. We use this access only to provide the features you enable, and you can revoke access at any time in your Google account settings or by contacting us.

5. SMS/Text Message Communications

By providing your phone number and consenting to receive text messages from Bellamare, you agree to receive SMS messages related to account authentication (one-time passcodes), document upload reminders, and portal notifications.

Message frequency varies. You may receive up to approximately 10 messages per month depending on account activity.

Message and data rates may apply. You are responsible for any messaging or data charges imposed by your wireless carrier.

Opt-out: You may opt out at any time by replying STOP to any message. After opting out, you will receive one final confirmation message and no further SMS messages will be sent. You may also opt out by emailing investors@bellamaredevelopment.com.

SMS consent is not required as a condition of purchasing any goods or services from Bellamare. We do not share your phone number or SMS consent data with third parties for their marketing purposes. Carriers are not liable for delayed or undelivered messages.

6. Third-Party Links & Documents

Our services may reference external documents or links. We do not control or endorse third-party content and are not responsible for its accuracy or availability.

7. No Solicitation

Nothing in the portal or on our site constitutes an offer to sell or a solicitation of an offer to buy securities. Any offering is made only pursuant to formal offering materials delivered to qualified investors.

8. Acceptable Use

You will not interfere with, disrupt, or attempt to gain unauthorized access to our systems. You will use the portal only for its intended purpose as an invited investor or authorized Bellamare Capital Access user.

9. Disclaimers

Services are provided "as is" without warranties of any kind. We do not guarantee accuracy, completeness, or availability of information in the portal.

10. Liability Limitations

To the fullest extent permitted by law, Bellamare Capital Access is not liable for indirect, incidental, special, or consequential damages arising from your use of the services.

11. Indemnity

You agree to indemnify and hold Bellamare Capital Access harmless from claims or losses arising from your misuse of the services or violation of these Terms.

12. Privacy & Data Use

Your use of the Services is also governed by our Privacy Policy and our How We Use Your Data page. These explain how we collect, use, and protect information, including any connected Google account data.

13. CCPA Requests

If you are a California resident, you may exercise CCPA rights using our request form at /ccpa/request/. Responses will follow applicable law.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in California.

15. Changes

We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance of the revised Terms.
